PLEASE READ THESE TERMS & CONDITIONS CAREFULLY BEFORE USING THIS SITE OR ANY OF OUR SERVICES.

1. Acceptance of Terms

These Terms & Conditions ("Terms" or "Agreement") apply to Spin Sudz, Inc. ("Spin Sudz," "we," "us," or "our"), our website at spinsudz.com, our related mobile and online booking applications, and any other domains, content, products, and services we offer now or in the future (collectively, the "Services").

By accessing or using the Services, whether or not you register an account, you agree to these Terms and to the collection, use, and disclosure of your information as described in our Privacy Policy. Together, these documents form a binding contract between you and Spin Sudz. This Agreement supersedes any prior agreements between you and us. If you do not agree to these Terms, do not access or use the Services.

We may modify these Terms at any time in our sole discretion. Changes take effect when posted to the Services. Your continued use of the Services after we post changes means you accept the updated Terms. You are responsible for reviewing these Terms periodically.

2. The Services

Spin Sudz is a wash-and-fold laundry service offering scheduled pickup and delivery, drop-off service, dry cleaning, and related services across Suffolk and Nassau Counties, New York. You may schedule service through our website and applications. Spin Sudz, or an independent contractor working with Spin Sudz, will process the items you submit.

3. Eligibility and Accounts

To use most aspects of the Services, you must register for and maintain an active personal account ("Account"). You must be at least 18 years of age to open an Account and use the Services.

Registration requires you to provide accurate personal information, including your name, service address, and mobile phone number, along with at least one valid credit or debit card. You authorize Spin Sudz to charge that card for all fees you incur. You agree to keep your Account information accurate, complete, and current. An invalid or expired card, or inaccurate Account information, may prevent you from accessing the Services or result in suspension or termination of your Account.

You are responsible for all activity under your Account and for keeping your username and password secure. Unless we permit otherwise in writing, you may hold only one Account per household. You may not transfer or assign your Account, authorize third parties to use it, or allow anyone under 18 to use the Services. You agree to use the Services only for lawful purposes and in compliance with all applicable laws.

4. Subscription Plans and Billing

We offer monthly subscription plans. Each plan, its monthly pound allotment, and its overage rate are described in our application at the time you sign up and may change from time to time. By enrolling in a plan, you agree to the following:

Billing is monthly and charged in advance to the card on file.
Your plan automatically renews each month on the same calendar date you originally signed up (your "Billing Date"). We will charge your card on each Billing Date until you cancel.
To avoid the next charge, you must cancel before your Billing Date. If you cancel on or after your Billing Date, the cancellation applies to the following billing cycle, and the current cycle is non-refundable.
Each plan includes a monthly pound allotment. Unused pounds do not roll over and expire at the end of each billing cycle.
Laundry processed above your monthly allotment is billed at the overage rate for your plan as posted in the application.
Subscription fees, including partial cycles and unused pounds, are non-refundable except as required by law or as we determine in our sole discretion.

5. Pricing, Charges, and Payment

You agree to pay all charges for the Services you receive ("Charges"). After your order is completed, we will process payment using the payment method on file and send a receipt by email. Charges include applicable taxes where required by law.

We charge a minimum order amount, which is disclosed in our current price list and may change from time to time. We reserve the right to establish, remove, or revise our Charges and prices for any or all aspects of the Services at any time in our sole discretion.

Except as required by law, Charges are final and non-refundable unless we determine otherwise. Any dispute regarding a Charge should be sent to hello@spinsudz.com.

From time to time we may offer certain customers promotional pricing or discounts that result in different Charges for the same or similar Services. Unless a promotion is also made available to you, it has no bearing on your Charges.

6. Pickup and Delivery

Our goal is convenient, reliable service, and we are willing to pick up and deliver orders to the location you specify. However, Spin Sudz is not responsible for any items unless the order is personally handed to and received from a Spin Sudz employee. We are not responsible for items in orders left in an unsecured, unattended, or unmonitored location at pickup or delivery. You are responsible for providing accurate address and access instructions.

7. Damaged or Lost Items

We follow the standards and policies of the professional fabricare industry and exercise the utmost care in cleaning and processing the items entrusted to us, using the methods we believe are best suited to each item. Even so, we cannot assume responsibility for the following, and they are excluded from any liability:

Inherent weaknesses or defects in materials that may cause tears or holes and are not readily apparent before processing.
Color loss, color bleeding, or shrinkage, and damage to weak or tender fabrics.
Items, or damage caused by items, left in pockets or bundled with garments, including jewelry, watches, cash, lipstick, gum, and pens. Please empty all pockets before submitting laundry.
Items left in unsecured or unattended pickup or delivery locations, as described in Section 6.

Liability cap. For any item we lose or damage and for which we are responsible, our total liability is limited to ten (10) times the cleaning charge for that order, and in no event will exceed $250.00 per order or $50.00 per individual item, whichever is lower. This applies regardless of the item’s brand, age, or condition.

Reporting. Please report any damaged, missing, or lost item to hello@spinsudz.com within forty-eight (48) hours of delivery. We are not responsible for any claim reported after that period.

Unclaimed items. If you fail to collect, accept delivery of, or arrange redelivery of a completed order within thirty (30) days of its completion, the items will be considered abandoned. After that period, Spin Sudz may donate, discard, or otherwise dispose of the items without further notice, and without any liability, credit, or refund to you.

8. Text Messages (SMS)

By creating an Account, you agree that we may send you informational text (SMS) messages as part of the normal operation of the Services. Message and data rates may apply. You may opt out of SMS messages at any time by sending a request to hello@spinsudz.com or by replying STOP to a message. Opting out may affect your use of the Services.

9. Promotional Codes

We may, in our sole discretion, create promotional codes that can be redeemed for Service credit or other benefits, subject to the terms we set for each promotion. You agree that promotional codes must be used for their intended audience and purpose, may not be duplicated, sold, or transferred, and may not be used to create multiple Accounts or to acquire Services for resale. We may disable any promotional code at any time, for any reason, without liability. Promotional codes have no cash value and may expire before use.

We reserve the right to withhold or deduct credits or benefits obtained through a promotion if we determine the use or redemption was made in error or was fraudulent, illegal, or in violation of the promotion terms or these Terms.

10. Intellectual Property and Limited License

The Services and all related text, content, photographs, images, audio, graphics, and software (the "Materials") are owned or licensed by Spin Sudz and are protected by copyright, trademark, trade dress, patent, trade secret, and other laws. Except where otherwise indicated, all trademarks, service marks, and trade names displayed in the Services are owned by Spin Sudz. Third-party marks are the property of their respective owners.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and Materials solely for your personal, non-commercial use. Any redistribution, retransmission, or publication of any Material is prohibited without our express written permission. You may not remove any proprietary notices or use any Spin Sudz logo or mark without our written consent. All rights not expressly granted are reserved.

11. User Conduct and Restrictions

You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our systems or networks, or interfere with anyone else’s use of the Services. You may not attempt to gain unauthorized access to any part of the Services or to any account, system, or network connected to the Services. You may not submit information that is intentionally inaccurate or fraudulent, or use the Services to commit fraud. We reserve the right to monitor use of the Services and to seek all remedies available at law and in equity for any violation of these Terms, including blocking access from a particular address.

12. Reviews and User Content

The Services may let you submit ratings, reviews, comments, and other materials ("User Content"). You represent that you own or have the right to submit any User Content you provide. By submitting User Content, you grant Spin Sudz a non-exclusive, transferable, sublicensable, royalty-free, worldwide, perpetual license to use, copy, display, modify, edit, translate, create derivative works from, and distribute that User Content in any media now known or later developed, with or without attribution. You agree to indemnify and hold Spin Sudz harmless from any claim arising out of our use of your User Content.

Some User Content may be posted publicly. We are not responsible for the actions of users or third parties regarding content posted on the Services. We may change, remove, or refuse any User Content, and may suspend access for conduct we believe interferes with others’ use of the Services. We will cooperate with law enforcement and comply with applicable law.

13. Disclaimer of Warranties

THE MATERIALS AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SPIN SUDZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT AS EXPRESSLY PROVIDED IN SECTION 7 (DAMAGED OR LOST ITEMS), SPIN SUDZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OR INJURY ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICES OR MATERIALS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS DO NOT EXCLUDE ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

15. Indemnification

You agree to indemnify and hold Spin Sudz and its officers, directors, employees, and agents harmless from any claims, demands, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the Services; (ii) your breach of these Terms; (iii) our use of your User Content; or (iv) your violation of the rights of any third party.

16. Third-Party Links

The Services may contain links to third-party websites and services that we do not control. We are not responsible for the content, products, or services available through those links, and providing them is not an endorsement. Your use of third-party websites and services is at your own risk. We may discontinue any link at any time.

17. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

You and Spin Sudz agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property or prevent unauthorized access to the Services.

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and will take place in Suffolk County, New York, or another mutually agreed location. The arbitrator’s decision will be final and binding. This Agreement is governed by the Federal Arbitration Act.

Class action waiver. You and Spin Sudz agree that each may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any class, collective, or representative action. The arbitrator may not consolidate more than one person’s claims or preside over any class or representative proceeding.

Opt-out. You may opt out of this arbitration agreement by sending written notice to hello@spinsudz.com within thirty (30) days of first accepting these Terms. If you opt out, neither you nor Spin Sudz can require the other to arbitrate.

18. Governing Law and Venue

These Terms and any dispute not subject to arbitration are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. For any claim not subject to arbitration, you and Spin Sudz agree to the exclusive jurisdiction and venue of the state and federal courts located in Suffolk County, New York, and waive any objection to that venue.

19. Notices

We may provide notice to you by posting on the Services, by email to the address in your Account, or by mail to the address in your Account. Notice is considered given 48 hours after mailing, or 12 hours after sending by email. You may give notice to us by email to hello@spinsudz.com or by mail to Spin Sudz, Inc., 197 Mastic Beach Rd, Mastic Beach, NY 11951. Notice to us is considered given when received.

20. Changes to These Terms

We may update these Terms at any time. When we do, we will revise the "Last Updated" date above and post the updated Terms on the Services. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

21. General

You may not assign these Terms without our prior written consent. We may assign these Terms without your consent to a subsidiary or affiliate, to an acquirer of our equity, business, or assets, or to a successor by merger. No joint venture, partnership, employment, or agency relationship is created by these Terms or your use of the Services. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision unless we acknowledge it in writing. These Terms, together with our Privacy Policy, are the entire agreement between you and Spin Sudz regarding the Services.
